End-User License Agreement

READ THIS AGREEMENT CAREFULLY.

BY CLICKING ON THE "I AGREE" BUTTON OR INSTALLING OR USING ALL OR ANY PORTION OF THE SOFTWARE, YOU ARE ACCEPTING ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, CLICK "CANCEL". YOU WILL NOT BE GIVEN ACCESS TO THE SOFTWARE UNLESS YOU ACCEPT THE TERMS OF THIS AGREEMENT. IF YOU HAVE PAID A LICENSE FEE FOR USE OF THE SOFTWARE AND DO NOT AGREE TO THESE TERMS, YOU MAY RETURN THE SOFTWARE FOR A FULL REFUND PROVIDED YOU (A) DO NOT USE THE SOFTWARE AND (B) RETURN THE SOFTWARE WITHIN THIRTY (30) DAYS OF YOUR INITIAL PURCHASE.

IF YOU WISH TO USE THE SOFTWARE AS AN EMPLOYEE, CONTRACTOR, OR AGENT OF A CORPORATION, PARTNERSHIP OR SIMILAR ENTITY, THEN YOU MUST BE AUTHORIZED TO SIGN FOR AND BIND THE ENTITY IN ORDER TO ACCEPT THE TERMS OF THIS AGREEMENT. THE LICENSES GRANTED UNDER THIS AGREEMENT ARE EXPRESSLY CONDITIONED UPON ACCEPTANCE BY SUCH AUTHORIZED PERSONNEL.

Simple Star™ End User License Agreement
For Simple Star Software, including PhotoShow™

Please read this End User License Agreement ("Agreement") carefully before proceeding. Under this Agreement, Simple Star, Inc. ("Simple Star") will grant a license to you, either an individual or single entity, ("you" or "your") to use the software program with which this Agreement was distributed, which may include a version of PhotoShow™ (the "Software"). By installing, copying or otherwise using the Software, you are confirming that you have read and understand this Agreement and agree to be bound by the terms of this Agreement, including certain warranty and liability disclaimers. If you do not agree with the terms of this Agreement, you may not install or use the Software.

Please note that the some features of the Software may allow you to connect to one or more Web sites or other Internet services owned, controlled or operated by Simple Star ("Simple Star Online Services"). If you use Simple Star Online Services, you will be subject to the terms of service for these sites, available at www.photoshow.com/legal/termsofservice, or any successor versions of such terms provided by Simple Star ("Simple Star Terms of Service"). This Agreement does not cover your use of Simple Star Online Services.

The Software may also allow you to connect to one or more Web sites or other Internet services owned, controlled or operated by third parties, and not by Simple Star ("Third Party Online Services"). If you use Third Party Online Services, you will be subject to the terms of service that the owners of these services make available ("Third Party Terms of Service"). This Agreement does not cover your use of Third Party Online Services.

1. Definitions.

(a) "Licensed Content" means artwork, music, visual works, computer software, text or other materials that belong to Simple Star or to a third party, which Simple Star provides to you as part of the Software, for you to use exclusively with the Software pursuant to the terms of this Agreement; (b) "Online Services" means the Simple Star Online Services and the Third Party Online Services; (c) "User Content" means artwork, music, visual works, computer software, text or other materials that you may provide for your own personal use in connection with the Software, including but not limited to: photographs, drawings, pictures and all other materials residing on your computer hard drive or other storage media; and (d) "User Creation" means an audio-visual creation which you make from your User Content by using the Software in accordance with its intended functionality, user documentation and the terms of this Agreement and which creation is in the format initially output by the Software. Each reference to "Software" includes the Licensed Content and any related user guides or documentation.

2. License to Use the Software.

Subject to all of the terms and conditions of this Agreement, Simple Star grants to you a limited, non-exclusive, personal, non sub-licensable, non-assignable license to: (i) install and use the Software on a single computer; (ii) use the Software to access Online Services or to publish User Content to Online Services, alone or in combination with Licensed Content (subject, in each case, to the applicable Simple Star Terms of Service or Third Party Terms of Service); and (iii) make one (1) copy of the Software in machine-readable form solely for backup and archival purposes; provided you reproduce on any such copy all copyright notices and any other proprietary legends found on the original. Simple Star expressly reserves any and all rights in and to the Software and Licensed Content not specifically granted to you in this Agreement. The license in this Agreement is effective until terminated. Without prejudice to any other rights that Simple Star may have, this Agreement will terminate automatically without further notice if you fail to comply with any of the provisions of this Agreement. Upon termination, you shall destroy all copies of the Software and Licensed Content including any partial copies thereof.

3. Restrictions.

(a) You may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network, other than with as permitted in Section 2, above. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not modify, copy, sell, rent, lend, lease, host on behalf of third party, operate as a service, transfer, resell for profit, distribute or create derivative works based upon the Software or any part thereof. Furthermore, you are not allowed to post or otherwise make the Software or Licensed Content available on the World Wide Web other than as expressly stated herein.

(b) You understand and agree that the Software may transmit certain information to Simple Star electronically and automatically. For example, it may transmit diagnostic and related information regarding the performance of the Software and the software and hardware configuration that it is being run on. Any information received by Simple Star from this transmission may be used by Simple Star for the purposes of diagnosing, improving, or correcting errors, or notifying you of updates regarding the Software, which may include, for example, providing the Software with a URL for update information and/or files. You further acknowledge that the Software has an online software update feature and that certain features and functions of the Software may be modified through the update process.

(c) You may not use the Software to: (i) copy, use, transmit, publish, save, display, create a derivative work of or distribute the Licensed Content, other than on the single computer where you have loaded the Software or as part of a User Creation; (ii) infringe upon or violate the intellectual property, privacy, publicity or other rights of third parties, including without limitation the rights of any third parties in any sound recordings, musical compositions, photographs, artwork, literary creations and/or other copyrightable works of any kind or nature; (iii) use the Software for pornographic or obscene uses, or (iv) engage in any defamatory, harassing, libelous, or slanderous conduct. You hereby represent that you own or have the right to use all User Content in connection with the Software, and you hereby agree to defend, indemnify and hold harmless Simple Star and its parents, subsidiaries, affiliates, successors, licensees, agents, attorneys, heirs and assigns, and the officers, directors and employees of the foregoing, from and against any and all third-party claims, liabilities, costs and expenses (including attorneys' and accountants' fees reasonably incurred) in connection with any breach or alleged breach by you of any covenant, representation or other provision of this Agreement or any third-party claim arising from or with respect to any User Content, or any of your obligations hereunder.

(d) As part of the Licensed Content, you may have access to musical compositions or sound recordings ("Musical Works") which are licensed solely in connection with your personal and non-commercial use of the Software. You agree that you will not: (i) edit or make reproductions of such Musical Works other than as embodied in User Creations, (ii) use any lyric or sheet music of the Musical Works displayed in conjunction with any User Content; or (iii) create any implication that Simple Star, or any artist or songwriter endorses you. Simple Star reserves the right to replace or remove Musical Works available in the Software.

(e) The Software is licensed to you for personal, non-commercial use only. You may not (and you agree not to) use, copy, distribute, transmit, broadcast, sell, or do anything else with the Software for any other purpose. This restriction, however, does not prevent you from using features of a related Online Service which may help you market or sell items for personal sale (for example, selling your car).

(f) The Online Services which may be accessed through the Software are subject to change or termination at any time.

4. Ownership and Rights.

(a) The Software is copyrighted by, proprietary to and a trade secret of Simple Star and it suppliers. As between you and Simple Star, Simple Star retains all title, ownership and intellectual property rights in and to the Software and all subsequent, updates, upgrades or copies thereof regardless of the form or media. Furthermore, the Software is protected by all applicable copyright or other intellectual property laws and treaties throughout the world. This license is not a sale of the Software or Licensed Content. Simple Star and its suppliers reserve all rights not specifically granted in this Agreement, including federal and international copyrights.

(b) All brand, product and service names used in the Software which identify Simple Star or its suppliers and their proprietary products and services are the trademarks or service marks of Simple Star and/or its suppliers. Nothing in this Agreement shall be deemed to confer on any person any license or right on the part of Simple Star or such supplier with respect to any such image, logo or name.

(c) If you make a permitted copy of anything created using the Software, even if it contains User Content, you must not delete, erase, or remove any logos or notices (such as copyright notices). You also agree not to disable, interfere, or try to get around any of the features of the Software related to security, preventing or restricting use or copying of any Licensed Content, or enforcing the limits on the use of the Software.

5. Disclaimer of Warranties and of Technical Support

YOU ACCEPT ALL RISKS THAT MAY ARISE FROM THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ERRORS IN TRANSMISSION OR CORRUPTION OF EXISTING DATA OR SOFTWARE. SIMPLE STAR EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE. THE SOFTWARE IS PROVIDED TO YOU ON AN "AS IS" BASIS, WITHOUT ANY TECHNICAL SUPPORT OR WARRANTY OF ANY KIND FROM SIMPLE STAR WHETHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, A WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS, WHICH VARY FROM STATE TO STATE. Your sole and exclusive remedy in the event the Software fails to function, or in the event of any other breach of this agreement by Simple Star, is to terminate this agreement and cease all use of the Software. Some states do not allow the exclusion of implied warranties or limitations of how long an implied warranty may last, so the above exclusion may not apply to you. You may also have other rights that may vary from state to state.

6. Limitation of Damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SIMPLE STAR NOR ITS AFFILIATES, LICENSEES OR SUPPLIERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSS (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF SIMPLE STAR OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. The warranty disclaimer, exclusive remedies and limitation of liability set forth in this Agreement are fundamental elements of the basis of the bargain between Simple Star and you. You agree that Simple Star would not be able to provide the Software on an economic basis without such limitations.

7. Export.

You acknowledge that the Software is subject to export restrictions by the United States government and import restrictions by certain foreign governments. You shall not and shall not allow anyone else to remove or export the Software from the United States or allow the export or re-export of any part of the Software: (i) into (or to a national or resident of) any embargoed or terrorist-supporting country; (ii) to anyone on the U.S. Commerce Department's Table of Denial Orders or U.S. Treasury Department's list of Specially Designated Nationals; (iii) to any country to which such export or re-export is restricted or prohibited, or as to which the United States government or any agency thereof requires an export license or other governmental approval at the time of export or re-export without first obtaining such license or approval; or (iv) otherwise in violation of any export or import restrictions, laws or regulations of any United States or foreign agency or authority. You warrant that you are not located in, under the control of, or a national or resident of any such prohibited country or on any such prohibited party list. Further, you shall not use the Software for the design or development of nuclear, chemical, or biological weapons or missile technology, or for terrorist activity, without the prior permission of the United States government.

8. Government End Users (USA only)

The Software and any related documentation provided under this Agreement are commercial computer software programs developed solely at private expense. As defined in U.S. Federal Acquisition Regulations (FAR) section 2.101 and U.S. Defense Federal Acquisition Regulations (DFAR) sections 252.227-7014(a)(1) and 252.227-7014(a)(5) (or otherwise as applicable to you), the Software and documentation licensed in this Agreement are deemed to be "commercial items" and "commercial computer software" and "commercial computer software documentation." Consistent with FAR section 12.212 and DFAR section 227.7202, (or such other similar provisions as may be applicable to you), any use, modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. government (or any agency or contractor thereof) shall be governed solely by the terms of this Agreement and shall be prohibited except to the extent expressly permitted by the terms of this Agreement.

9. Third Party Materials.

Parties other than Simple Star provide may provide services or distribute and sell products through the Online Services. Simple Star may provide links to the Web sites of certain companies and other businesses, which Simple Star does not and cannot control. Simple Star is not responsible for examining or evaluating, and Simple Star does not warrant the offerings of, any of these businesses or individuals or the content of their Web sites. Simple Star has no responsibility or liability for the actions, products, or contents of third parties. If you use third-party software or services, you must agree to the terms and conditions imposed by the third party. Any such agreement will be solely between you and the third party, and not Simple Star. You must use your own discretion when you use offerings of third parties.

10. General.

This Agreement is governed by the laws of the State of California without regard to conflict of law provisions. The sole jurisdiction and venue for any claim arising from the Software and this Agreement shall be the state and federal courts located in San Francisco, California and you hereby consent to the exclusive jurisdiction and venue of such courts and waive any claim or defense that such forum is not convenient or proper. This agreement contains the complete agreement between you and Simple Star regarding the Software. If a court having proper authority decides that any portion of this Agreement is invalid, only the part that is invalid will not apply, and the rest of this Agreement will still be in effect. If we do not enforce all of our rights under this Agreement in any particular instance, it does not mean that we are waiving our rights generally or in the future. You may not transfer or assign this Agreement, or any rights or licenses granted under this Agreement, but we may assigned or transfer such rights without restriction.

YOU AGREE THAT IF YOU WANT TO SUE US, YOU MUST FILE YOUR LAWSUIT WITHIN 1 YEAR AFTER THE EVENT THAT GAVE RISE TO YOUR LAWSUIT. OTHERWISE, YOUR LAWSUIT WILL BE PERMANENTLY BARRED.

END USER LICENSE AGREEMENT FOR MICROSOFT WINDOWS MEDIA ENCODER

IMPORTANT-READ CAREFULLY: This Microsoft End-User License Agreement ("EULA") is a legal agreement between you (either an individual person or a single legal entity, who will be referred to in this EULA as "You") and Microsoft Corporation for the Microsoft software product that accompanies this EULA, including any associated media, printed materials and electronic documentation (the "Software Product").

The Software Product is designed for use with specific Microsoft operating system software (any such software referred to here as "OS Product") and includes components ("OS Components") to update, supplement, or replace existing functionality of the applicable OS Product. BY INSTALLING, COPYING, DOWNLOADING, ACCESSING OR OTHERWISE USING THE SOFTWARE PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. If You do not agree, do not install, access or use the Software Product.

IF YOU DO NOT HAVE A VALIDLY-LICENSED COPY OF THE APPLICABLE OS PRODUCT, YOU ARE NOT AUTHORIZED TO INSTALL, COPY OR OTHERWISE USE THE SOFTWARE PRODUCT AND HAVE NO RIGHTS UNDER THIS EULA.

SOFTWARE PRODUCT LICENSE

The Software Product is protected by copyright and other intellectual property laws and treaties. Microsoft or its suppliers own the title, copyright, and other intellectual property rights in the Software Product. Microsoft reserves all rights not expressly granted to You in this EULA. The Software Product is licensed, not sold.

1. GRANT OF LICENSE. This Section of the EULA describes Your general rights to install and use the Software Product The license rights described in this Section are subject to all other terms and conditions of this EULA.

* General License Grant to Install and Use Software Product. You may install and use one copy of the Software Product on a single computer running a validly licensed version of an applicable OS Product.

* Reproduction of the Software Product. If You have multiple validly licensed copies of an applicable OS Product, You may reproduce, install and use one copy of the Software Product on each of Your computers that is running a validly licensed copy of the applicable OS Product, provided that you use such additional copies of the Software Product in accordance with the term and conditions herein.

* OS Components. Microsoft grants you a license to use the OS Components under the terms and conditions of the OS Product EULA (which are hereby incorporated by reference except as set forth below), the terms and conditions set forth in this EULA, and the terms and conditions of any additional end user license agreement that may accompany the individual OS Components (each an "Individual EULA"), provided that you comply with all such terms and conditions. To the extent that there is a conflict among any of these terms and conditions applicable to the OS Components, the following hierarchy shall apply: 1) the terms and conditions of the Individual EULA; 2) the terms and conditions in this EULA; and 3) the terms and conditions of the applicable OS Software EULA.

* Windows Media Format Software Development Kit Runtime Library. This EULA does not grant You any rights to use the Windows Media Format Software Development Kit ("WMF SDK") runtime library contained in the OS Components to develop a software application that uses Windows Media technology. If You wish to use the WMF SDK to develop such an application, visit http://msdn.microsoft.com/workshop/imedia/windowsmedia/sdk/wmsdk.asp, accept a separate license for the WMF SDK, download the appropriate WMF SDK, and install it on Your system.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

* Digital Rights Management. Content providers are using the DRM technology contained in the OS Components to protect the integrity of their content ("Secure Content") so that their intellectual property, including copyright, in such content is not misappropriated. Portions of this Software Product and third party applications such as media players use DRM to create and play Secure Content ("DRM Software"). If the DRM Software's security has been compromised, owners of Secure Content ("Secure Content Owners") may request that Microsoft revoke the DRM Software's right to copy, display and/or play Secure Content. Revocation does not alter the DRM Software's ability to play unprotected content. A list of revoked DRM Software is sent to Your computer whenever You download a license for Secure Content from the Internet. You therefore agree that Microsoft may, in conjunction with such license, also download revocation lists onto Your computer on behalf of Secure Content Owners. Microsoft will not retrieve any personally identifiable information, or any other information, from Your computer by downloading such revocation lists. Secure Content Owners may also require You to upgrade some of the DRM components installed on Your computer ("DRM Upgrades") before accessing their content. When You attempt to play such content, Microsoft DRM Software will notify you that a DRM Upgrade is required and then ask for Your consent before the DRM Upgrade is downloaded. Third party DRM Software may do the same. If You decline the upgrade, You will not be able to access content that requires the DRM Upgrade; however, you will still be able to access unprotected content and Secure Content that does not require the upgrade.

* Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the Software Product, including any codecs or protocols associated with the Software Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

* Trademarks. This EULA does not grant You any rights in connection with any trademarks or service marks of Microsoft.

* No rental, leasing or commercial hosting. You may not rent, lease, lend or provide commercial hosting services to third parties with the Software Product.

* Support Services. Microsoft may provide You with support services related to the Software Product ("Support Services"). Use of Support Services is governed by the Microsoft policies and programs described in the user manual, in "online" documentation, or in other Microsoft-provided materials. Any supplemental software code provided to You as part of the Support Services are considered part of the Software Product and subject to the terms and conditions of this EULA. You acknowledge and agree that Microsoft may use technical information You provide to Microsoft as part of the Support Services for its business purposes, including for product support and development. Microsoft will not utilize such technical information in a form that personally identifies You.

* Termination. Without prejudice to any other rights, Microsoft may terminate this EULA if You fail to comply with the terms and conditions of this EULA. In such event, You must destroy all copies of the Software Product and all of its component parts.

3. INTELLECTUAL PROPERTY RIGHTS. All title and intellectual property rights in and to the Software Product (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software Product), the accompanying printed materials, and any copies of the Software Product are owned by Microsoft or its suppliers. All title and intellectual property rights in and to the content that is not contained in the Software Product, but may be accessed through use of the Software Product, is the property of the respective content owners and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants You no rights to use such content. If this Software Product contains documentation that is provided only in electronic form, you may print one copy of such electronic documentation. You may not copy the printed materials accompanying the Software Product.

4. U.S. GOVERNMENT LICENSE RIGHTS. All Software Product provided to the U.S. Government pursuant to solicitations issued on or after December 1, 1995 is provided with the commercial license rights and restrictions described elsewhere herein. All Software Product provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 is provided with RESTRICTED RIGHTS as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable.

5. EXPORT RESTRICTIONS. You acknowledge that the Software Product is subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the Software Product, including the U.S. Export Administration Regulations, as well as end-user, end-use and destination restrictions issued by U.S. and other governments. For additional information, see http://www.microsoft.com/exporting/.

6. APPLICABLE LAW. If you acquired this Software Product in the United States, this EULA is governed by the laws of the State of Washington. If you acquired this Software Product in Canada, unless expressly prohibited by local law, this EULA is governed by the laws in force in the Province of Ontario, Canada; and, in respect of any dispute which may arise hereunder, you consent to the jurisdiction of the federal and provincial courts sitting in Toronto, Ontario. If this Software Product was acquired outside the United States, then local law may apply.

7. LIMITED WARRANTY. IF THE APPLICABLE OS PRODUCT WAS LICENSED TO YOU BY MICROSOFT OR ANY OF ITS WHOLLY OWNED SUBSIDIARIES, THE LIMITED WARRANTY (IF ANY) INCLUDED IN THE APPLICALBE OS PRODUCT EULA APPLIES ONLY TO THE OS COMPONENTS, PROVIDED THAT THE OS COMPONENTS HAVE BEEN LICENSED BY YOU WITH THE TERM OF THE LIMITED WARRANTY IN THE APPLICABLE OS PRODUCT EULA. HOWEVER, THIS EULA DOES NOT EXTEND THE TIME PERIOD FOR WHICH THE LIMITED WARRANTY IS PROVIDED.

IF THE APPLICABLE OS PRODUCT WAS LICENSED TO YOU BY AN ENTITY OTHER THAN MICROSOFT OR ANY OF ITS WHOLLY OWNED SUBSIDIARIES, MICROSOFT DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE PRODUCT AS FOLLOWS:

8. DISCLAIMER OF WARRANTIES. 9. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MICROSOFT OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF MICROSOFT OR ANY SUPPLIER, AND EVEN IF MICROSOFT OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. ENTIRE AGREEMENT. This EULA (including any addendum or amendment to this EULA which is included with the Software Product) is the entire agreement between you and Microsoft relating to the Software Product and the support services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software Product or any other subject matter covered by this EULA. To the extent the terms of any Microsoft policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control.
